We were very pleased to assist Vivalto Santé on these three majors acquisitions which consolidate the leading position of the group in the private healthcare sector in France.

CMS France recently advised Vivalto Santé on the acquisition of three groups that operate private hospitals: Hopitaux Privés du Littoral, Confluent Group and Dracy Santé. Vivalto Santé is one of the largest private care providers in France, operating specialist clinics and private hospitals.

These acquisitions were part of very competitive auctions that were successfully won by Vivalto Santé in a very short time. CMS advised Vivalto Santé in all phases of the acquisition process: conducting the due diligence exercise on the targets (including tax), negotiating the acquisition documentation and W&I insurance policies as well as supporting the client until completion of the transactions.

CMS has worked with Vivalto Santé for more than ten years and has become a trusted partner. Thanks to this long-term relationship, CMS understands Vivalto Santé's needs and expectations very well. Additionally, CMS's extensive track record in transactions in the private healthcare sector positions us well to assist clients with their M&A deals.

The private hospital sector in France is consolidating rapidly and the M&A activity in this sector is very active. However, many private hospitals groups are still independent and the three major players (Ramsay, Elsan and Vivalto Santé) have a big appetite for acquisitions.
